IDENTICK DISTRIBUTOR AGREEMENT
Legally Binding Agreement
This Distributor Agreement (“Agreement”) is entered into on [Effective Date], by and between:
Identick, the owner and operator of the Identick Platform (“Company”, “Identick”),
and the individual or entity registering as a distributor on the Identick Platform (“Distributor”).
By registering, subscribing, or using the Platform as a Distributor, you agree to be legally bound by this Agreement.
Appointment of Distributor
Identick appoints the Distributor as a non-exclusive, non-transferable distributor of Identick’s
ID card generation services. This Agreement does not create any partnership, joint venture,
employment, or agency relationship.
Scope of Distributor Rights
- Register schools, institutions, or organizations on the Identick Platform
- Manage institutional accounts and subscription plans
- Collect and upload student, teacher, or employee data
- Generate ID cards using Identick systems, templates, and tools
The Distributor shall not represent itself as the owner or developer of Identick.
Subscription Plans & Access
- Subscription to a valid plan (Basic, Pro, Premium) is required
- Plan features, limits, pricing, and validity are defined on the Platform
- Access is strictly limited to the subscribed plan
Distributor Obligations
- Provide accurate, lawful, and complete information
- Obtain all required consents from schools and institutions
- Ensure uploaded data is authorized and correct
- Comply with all applicable laws, including data protection laws
- Use the Platform only for lawful business purposes
Data Protection & GDPR Compliance
The Distributor acts as a Data Controller, and Identick acts as a Data Processor.
The Distributor confirms lawful data collection, proper consent, and data subject awareness.
Mandatory Consent Disclaimer
- All legally required consents have been obtained
- Parental or guardian consent exists for minors
- Identick is not responsible for consent verification
- All legal claims due to lack of consent are the Distributor’s responsibility
Fees, Billing & No Refund Policy
Subscription fees are payable in advance and are strictly non-refundable,
regardless of usage level, account suspension, termination, or dissatisfaction.
Intellectual Property
All software, designs, logos, and platform content remain the exclusive property of Identick.
The Distributor receives a limited, revocable license during the subscription period.
Marketing & Representation
The Distributor may market Identick services truthfully.
Misrepresentation or unauthorized branding is prohibited.
Confidentiality
The Distributor must maintain confidentiality of all platform, business,
pricing, and technical information. This obligation survives termination.
Service Availability & Disclaimer
Identick does not guarantee uninterrupted service and is not liable for indirect
or consequential losses.
Limitation of Liability
Identick’s liability is limited to the subscription fee paid.
Identick is not liable for data errors, institutional disputes,
third-party claims, or regulatory penalties caused by the Distributor.
Termination & Effect
Identick may terminate access for policy violations, misuse, or illegal activity.
Upon termination, platform access ceases, branding use must stop,
and outstanding dues remain payable.
Governing Law & Jurisdiction
This Agreement shall be governed by the laws of India.
Courts located in [Your City/State] shall have exclusive jurisdiction.
Entire Agreement & Amendments
This Agreement, along with Identick’s Terms of Use, Privacy Policy,
and Data Processing Agreement, constitutes the entire agreement.
Identick may modify terms, and continued use indicates acceptance.
